Emily is a senior associate in the Corporate and Commercial team. She offers comprehensive corporate and commercial law support to businesses in the private, public and third sectors. Her expertise lies in drafting intricate commercial contracts and providing guidance on corporate governance; catering to businesses of all sizes.

She also brings extensive experience in handling corporate transactions. This encompasses business disposals, private equity investments, management buyouts and assisting companies to become employee-owned.

Her skill set extends to reviewing and drafting a wide range of commercial documents, including shareholders’ agreements, terms and conditions, confidentiality agreements and franchise agreements.

Additionally, she holds a Master’s degree in Legal Practice from Cardiff University.

  • Advised one of Wales’ largest housing associations on the preparation and negotiation of a collaboration agreement with a national university and a leading further education institution. The agreement enabled the parties to work together on carbon reduction and sustainability projects.
  • Prepared a service agreement for a market-leading supplier of specialist medical devices to healthcare professionals across the UK in connection with the rollout of a new medical product.
  • Drafted a shareholders’ agreement for a software development and IT consultancy business, which included bespoke share transfer provisions to govern ownership changes and protect shareholder interests.
  • Acted for Excellence IT, one of Wales’ leading managed IT service providers to SMEs, on its successful transition to employee ownership.
  • Supported KWL Architects, one of the UK’s leading care sector architects, on all legal aspects of its transition to employee ownership through an Employee Ownership Trust.
  • Acted for the founder of a UK medical supply company in its sale to a leading healthcare services provider. The transaction had various complexities, including a restructuring and hive-out of assets.
