Siobhan joined Darwin Gray in 2014. She acts for clients in a wide range of corporate and commercial matters including drafting and reviewing contracts, advising on intellectual property and data protection issues, and buying and selling businesses. As a BFA Qualified Franchise Professional, Siobhan acts for both franchisors and franchisees on a range of franchising matters.

Siobhan joined Darwin Gray in 2014 and qualified as a solicitor in 2015 into our Corporate Commercial team and was promoted to Associate in April 2018.

Siobhan acts for clients in a wide range of corporate and commercial matters, providing a commercial and practical approach alongside more technical advice, particularly in relation to specific projects and client goals.  She is passionate about creating strong relationships with her clients.

From a corporate perspective, Siobhan regularly advises on corporate structure (including in the not-for-profit and charity sector), the preparation of shareholders’ agreements, corporate restructuring and dealings with share capital including share buybacks and share options.  On the transactional side, Siobhan has successfully led a number of corporate acquisitions with values up to £10 million.

On the commercial side, Siobhan regularly drafts and reviews commercial contracts, advises in relation to distributor and agency agreements, intellectual property and data protection issues.  She also has experience of the lottery and gaming sector.

As part of Darwin Gray’s specialist BFA-affiliated Franchising team, Siobhan acts for both franchisors and franchisees. She achieved the BFA’s “Qualified Franchise Professional” qualification in 2017 following an extensive training programme and interview process.  Siobhan assists franchisors with the preparation of their franchise agreements, as well as dealing with any formalities around franchisee recruitment and terminations.  In addition, she advises clients on any ad hoc queries which may arise from time to time, such as issues with franchisee.  Siobhan has also acted in the sale and purchase of a number of established franchise businesses.

Personal Interests

Siobhan is an active member of her local community and also enjoys films, reading and crochet.
